Terms & Conditions

These terms and conditions (the "Agreement") govern the relationship between the Service Provider (the "Provider") and the Client for the provision of services. By making a payment, the Client acknowledges and agrees to these terms.

1. Scope of Services

1.1 Provision of Services

The Provider agrees to deliver services as detailed in the Agreed Details. Any modifications to the service scope will be communicated to the Client prior to implementation.

1.2 Client's Obligations

The Client agrees to supply all necessary materials, information, or other resources required for the service completion.

1.3 Training (if applicable)

Training Materials (included): Free resources covering essential tasks. Live Training Sessions (optional, additional charges apply): Customizable sessions, in person or online, subject to a separate agreement if requested.

2. Payment Terms

2.1 Project Fee

The Client agrees to pay the total project fee as outlined in the Agreed Details, with payment terms specified separately.

2.2 Payment Method

Payments will be made in the agreed currency, with specific payment methods outlined in the Agreed Details.

2.3 Non-Refundable Payments

All payments are non-refundable.

2.4 Termination

If the Client terminates within the payment period, a 30-day written notice is required, with outstanding payments due up to the termination date.

3. Domain, Hosting, and Licensing (if applicable)

3.1 Domain Registration

The Client retains ownership of any registered domain. Additional charges may apply based on domain costs.

3.2 Hosting Services

Hosting, if provided, incurs additional costs. The Provider is not liable for interruptions due to third-party issues.

4. Intellectual Property

4.1 Transfer of Ownership

Upon final payment, ownership of the deliverable transfers to the Client, subject to any licensing requirements for third-party components.

4.2 Provider's Ownership

Provider retains copyright on original materials, with usage rights as needed.

5. Technical Support and Updates (if applicable)

5.1 Support Availability

The Provider offers technical support covering minor updates, maintenance, and requested integrations.

5.2 Response Time

Technical support requests submitted via the designated portal will be addressed within 48 hours.

5.3 Updates

Unless included in a package, maintenance and updates do not automatically apply. Major updates beyond the original scope incur additional charges.

6. Confidentiality

6.1 Confidentiality Obligations

Both Parties agree to maintain confidentiality of any proprietary information shared.

6.2 Non-Disclosure

Neither Party will disclose confidential information to third parties without prior consent, except as required by law.

7. Indemnification

7.1 Client's Responsibility

The Client indemnifies the Provider against claims related to the content, products, or services associated with the deliverable.

8. Limitation of Liability

8.1 Provider's Liability

The Provider is not liable for any direct, indirect, incidental, or consequential damages arising from the deliverable's use or inability to use.

9. Governing Law and Jurisdiction

9.1 Applicable Laws

This Agreement is governed by the laws of Trinidad and Tobago.

9.2 Jurisdiction

Any disputes will be resolved in Trinidad and Tobago courts.

10. Entire Agreement

10.1 Complete Understanding

This Agreement represents the full understanding between the Provider and Client, superseding any prior agreements.

11. Additional Terms and Conditions

11.1 Timeline

Service delivery is contingent upon the Client’s timely provision of necessary content. Delays from the Client may extend the timeline accordingly.

11.2 Performance

Service performance may be influenced by factors outside the Provider’s control.

11.3 Content Responsibility

The Client is responsible for maintaining legal and accurate content and will indemnify the Provider against claims related to inappropriate content.

11.4 Changes and Modifications

Adjustments to scope or timelines must be mutually agreed upon, with additional charges applicable for changes beyond the original scope.

11.5 Dispute Resolution

The Parties will attempt good-faith negotiation in any dispute.

11.6 Assignment

Assignment of this Agreement is not permitted without prior written consent.

11.7 Portfolio Usage

Provider may use completed work in their portfolio for promotional purposes, limited to non-competing industries.
